These Terms & Conditions (“Terms”) govern your use of the Las Palmas AI-powered assistant, including any chatbots, messaging bots, automated agents, or similar tools provided by Las Palmas Mexican Restaurant (“Las Palmas,” “we,” “us,” or “our”) (collectively, the “Las Palmas Assistant” or the “Service”).
By accessing or using the Las Palmas Assistant in any way — including through our website, mobile app, Meta Messenger, Google Messages, or any other supported platform — you expressly acknowledge and agree that:
- You have read, understood, and agree to be bound by these Terms;
- You are at least 18 years of age; and
- If you do not agree to these Terms, you must not use the Las Palmas Assistant.
If you continue to use the Las Palmas Assistant after changes are made to these Terms, you are deemed to have accepted the updated Terms.
1. ELIGIBILITY
You may only use the Las Palmas Assistant if:
- You are 18 years of age or older; and
- You have the legal capacity to enter into a binding agreement with Las Palmas under applicable law.
If you are under 18, you are not permitted to use the Las Palmas Assistant.
2. DEFINITIONS
For purposes of these Terms:
- “Las Palmas Assistant” or “Assistant” means the AI-powered conversational system (including any chatbots, messaging automations, or related features) that responds to user prompts about Las Palmas Mexican Restaurant, whether accessed via our website, mobile applications, Meta Messenger, Google Messages, or any other supported channels.
- “LLM” (Large Language Model) means an advanced machine-learning model (such as those provided by OpenAI, Google, or similar vendors) that generates human-like text responses based on patterns learned from large datasets.
- “AI” means artificial intelligence systems, including LLMs and automated agents, used to process user inputs and produce outputs.
- “AI Agent(s)” means software components or automated routines that use AI models (and sometimes other tools or APIs) to analyze data, perform tasks, generate metrics, or orchestrate actions, often in the background.
- “Prompt” means any input you provide to the Assistant, including questions, instructions, feedback, text, images (if ever supported), or any other data you send.
- “Output” means the text or other content generated by the Assistant in response to your prompts.
- “Hallucination” means any Output that is inaccurate, outdated, misleading, incomplete, fabricated, or otherwise incorrect, including made-up facts, policies, offers, or statements that are not actually true or authorized by Las Palmas.
- “Conversation Thread” or “Session” means a sequence of prompts and outputs associated with a single continuous interaction with the Assistant. Sessions may be time-limited or reset based on technical constraints, rate limits, or other system design factors.
- “CRM” (Customer Relationship Management system) means the internal system(s) Las Palmas uses to store, organize, and analyze customer-related data, including chat transcripts, feedback, contact information, and related metadata.
- “Service Provider(s)” means third parties that assist us in providing the Assistant and related services, including but not limited to AI providers (e.g., OpenAI, Google), messaging platforms (e.g., Meta, Google), hosting providers, CRM developers, and analytics vendors.
- “Third-Party Platform(s)” means services or platforms that are not owned by Las Palmas but through which you may access the Assistant, such as Meta Messenger or Google Messages.
- “Training” or “Training Data” means the process and data used to improve the behavior, accuracy, and performance of the Assistant, including curated examples, corrections of hallucinations, test prompts, and other non-personally-identifiable information derived from user interactions or internal documentation.
- “Personal Information” or “Personal Data” means information that can be used to identify an individual, such as name, phone number, or other contact details you choose to provide.
- “Non-Personal Information” means data that does not directly identify an individual, such as generalized usage metrics, anonymized or aggregated conversation snippets, timestamps, or device type.
- “You” or "User” means any person or entity accessing or using the Las Palmas Assistant.
Where the context requires, the singular includes the plural and vice versa.
3. OVERVIEW OF THE SERVICE
The Las Palmas Assistant is designed primarily to:
- Answer questions about Las Palmas Mexican Restaurant,
- Provide information about menu items, locations, hours, and promotions,
- Receive feedback, compliments, and complaints,
- Help route concerns or issues to appropriate staff, and
- Assist with other restaurant-related inquiries.
The Assistant is for informational and convenience purposes only. It is not a human and does not replace direct communication with Las Palmas staff, nor does it make binding commitments on our behalf.
4. ACCEPTABLE USE
4.1 Las Palmas–Related Use Only
The Assistant is intended solely for Las Palmas–related queries, including but not limited to:
- Questions about our locations, hours, and menus;
- Questions about promotions, gift cards, and events;
- Feedback, suggestions, compliments, or complaints;
- General inquiries about dining experiences at Las Palmas.
We reserve the right to refuse, block, or ignore prompts that are:
- Highly unrelated to Las Palmas,
- Designed to probe or test the Assistant in ways unrelated to our business, or
- Otherwise inappropriate or abusive.
4.2 Prohibited Content and Activities
You agree that you will not use the Assistant to:
- Request, generate, or discuss dangerous content, including (but not limited to):
- Weapons designs or blueprints;
- Chemical weapons or toxic agents;
- Nuclear weapons or radiological devices;
- Warfare tactics or instructions for violent harm;
- Weapons of mass destruction or similar topics.
- Harassment, bullying, or threats;
- Stalking, doxxing, or invading privacy;
- Defamation, hate speech, or discriminatory content;
- Solicitation of criminal activity or advice on how to commit crimes.
- Employee personal information;
- Internal business documents or strategies;
- Non-public operational details or system configurations.
- Using the Assistant to generate content that infringes on third-party copyrights, trademarks, or trade secrets;
- Requesting reproductions of copyrighted works unrelated to Las Palmas (e.g., entire books, songs, movies, or proprietary content owned by others).
- Attempting to jailbreak or circumvent safety features;
- Attempting to extract system prompts, model weights, or proprietary logic;
- Attempting to insert malicious code or prompts designed to compromise services;
- Using automated bots to interact with the Assistant at scale.
- Requesting malware or harmful scripts;
- Probing for vulnerabilities;
- Engaging in unauthorized testing or penetration attempts.
- Claiming the Assistant is a human or Las Palmas employee;
- Presenting AI outputs as official statements or commitments of Las Palmas;
- Using screenshots of outputs as “proof” of discounts, offers, or internal policies.
- Operate, plan, or improve any restaurant or food-service business in competition with Las Palmas;
- Build menus, strategies, or materials for competing restaurants without our prior written consent.
- You must not interact with the Assistant while driving or operating any vehicle.
- Doing so is dangerous, may be illegal, and is in direct violation of these Terms.
- This restriction is imposed to promote safety on the roadways, and we disclaim any liability arising from your use of the Assistant while driving.
5. RATE LIMITING, ACCESS RESTRICTIONS, AND BANS
5.1 Rate Limits
To protect system stability and ensure fair access:
- We may impose per-user, per-device, or per-channel rate limits on the number or frequency of prompts.
- We are under no obligation to disclose the exact rate limits.
- Rate limits may be changed, tightened, or relaxed at any time, with or without notice.
If you reach a usage limit, the Assistant may:
- Stop responding,
- Ask you to wait before sending additional messages, or
- Temporarily suspend your access for a defined or undefined period.
5.2 Bans and Termination of Access
Las Palmas reserves the right, at any time and at its sole discretion, to:
- Suspend or terminate your ability to use the Assistant;
- Restrict your access based on device, account, or phone number;
- Block or filter further messages;
- Apply bans either temporarily or permanently.
A ban or restriction may be imposed for reasons including, but not limited to:
- Violations of these Terms;
- Illegal, unethical, or abusive behavior;
- Attempts to compromise system integrity or security;
- Excessive or abusive usage patterns.
Bans may be imposed by:
- The Acting Chief Marketing Officer (CMO) of Las Palmas, and/or
- LiveWire Media Partners or their authorized personnel.
We are not required to:
- Provide you with a formal dispute process,
- Explain the specific reason for the ban, or
- Reinstate access even if a dispute is reviewed.
Any dispute review we choose to offer is purely voluntary and does not create an obligation to restore your access.
6. AI BEHAVIOR, HALLUCINATIONS, AND LIMITATIONS
6.1 Nature of AI-Generated Content
The Assistant uses LLMs and other AI technologies to generate responses. As a result:
- Outputs are generated probabilistically and may be incorrect, incomplete, outdated, or misleading.
- The Assistant may produce hallucinations, as defined above.
- The Assistant may guess, infer, or fabricate details that are not based on accurate or current information.
6.2 Hallucinations Are Expected and Not Binding
You acknowledge and agree that:
- Hallucinations are a known and expected behavior of generative AI.
- No Output, including text that appears confident or specific, should be assumed to be accurate or independently verified.
- The Assistant may “sound sure” while being wrong.
Las Palmas, its owners, employees, and partners:
- Do not guarantee the correctness of any Output;
- Are under no obligation to honor, match, or act on any hallucinated statement, including but not limited to:
- Incorrect hours or prices;
- Fake promotions, discounts, or coupons;
- Nonexistent policies or offers;
- Promises of free food, refunds, or gift cards;
6.3 No Authority to Make Deals, Offers, or Commitments
The Assistant:
- Does not have authority to:
- Offer refunds or credits;
- Issue or promise gift cards;
- Apply discounts, coupons, or specials;
- Change store policies or guarantees;
- Make binding service commitments on behalf of Las Palmas.
Any such matters must be handled by authorized Las Palmas staff. You must not rely on AI-generated messages as proof of any financial or service-related commitment.
7. NO PROFESSIONAL OR EMERGENCY ADVICE
The Assistant is not a replacement for professional advice or emergency services. You agree that you will not rely on it for:
- Medical or mental health advice;
- Legal, regulatory, or immigration advice;
- Financial, tax, or investment advice;
- Psychological counseling, therapy, or crisis response;
- Professional business consulting or strategy;
- Family, relationship, or life coaching decisions.
If the Assistant appears to offer any such advice:
- You understand this is hallucinatory or incidental and must not be relied upon.
- You agree that Las Palmas is not responsible for any actions you take (or fail to take) based on such Outputs.
In the event of an emergency, you must call 911 or your local emergency number. You must not use the Assistant to report emergencies or request immediate help.
8. CONVERSATION MEMORY AND SESSION LIMITS
You understand and agree that:
- The Assistant may not have a persistent, reliable “memory” of past interactions.
- A new Conversation Thread or Session may not be linked to prior sessions, even if they occur on the same device or account.
- Due to context limits and technical constraints, the Assistant may:
- Forget earlier parts of a conversation;
- Stop referencing older messages;
- Lose context mid-conversation.
On:
- Our website or mobile app:
- Messages may not persist if you refresh the page, close the app, or return later.
- Threads may be reset without notice.
- Your conversation transcript may remain visible in the messaging app,
- But the Assistant may not remember earlier parts of the conversation beyond its current context window.
- We may set usage and context limits so that earlier messages are no longer accessible to the Assistant even though they appear in your messaging history.
9. DATA COLLECTION, STORAGE, AND USE (CRM & AI)
9.1 What We Collect
When you use the Assistant, we may collect and store:
- The content of your messages/prompts;
- The Outputs generated by the Assistant;
- Metadata such as:
- Time and date of interactions;
- Device type or browser;
- Channel or platform used (website, app, Messenger, Google Messages, etc.);
- General region or IP-based information (but not precise GPS location, unless you choose to provide it).
If you interact through:
- Meta Messenger or Google Messages:
- We may receive and store the name associated with your profile or phone number,
- Along with the entire conversation content in our CRM.
If you use:
- Our website or app without logging in:
- Your legal name may not be automatically known to us, but
- Any identifying information you choose to provide (such as your name, phone number, or other details) will be stored in our CRM.
9.2 Where Data Is Stored and Who May Access It
Your interactions with the Assistant may be stored in our CRM and related systems. Access may be granted to:
- Las Palmas Mexican Restaurant, including:
- Owners, management, and the Acting Chief Marketing Officer;
- Authorized affiliates and employees on a need-to-know basis;
- LiveWire Media Partners and their authorized personnel;
- Developers and service providers who build, maintain, or support our CRM and AI infrastructure;
- Future bona fide technical support or troubleshooting providers engaged by Las Palmas.
Additionally, your data may be processed or stored by:
- AI providers such as OpenAI, Google, or similar vendors whose APIs we use;
- Messaging platforms such as Meta or Google;
- Hosting providers and analytics tools.
These third parties have their own terms and privacy policies that govern their use of data.
9.3 Use of Data
We may use your data to:
- Respond to your inquiries and complaints;
- Monitor service quality and guest experience;
- Identify patterns, issues, and opportunities to improve our operations;
- Train and refine our AI prompts, routing logic, and internal tools;
- Generate metrics, trends, and analytics via AI Agents;
- Improve the accuracy, safety, and performance of the Assistant.
We may also:
- Ask for your contact information (such as a phone number) if more information is needed to follow up on a complaint or concern;
- Use your feedback, suggestions, or ideas to inform future decisions, without obligation to credit or compensate you.
9.4 Training and Model Improvement
We may use conversation data, in anonymized or de-identified form, to:
- Identify hallucinations and correct them;
- Build better internal training examples;
- Improve how the Assistant responds generally to similar questions;
- Create non-personal “training modules” that adjust behavior across all users.
We will not intentionally include your personal identifying information (such as your name or phone number) in training data used for generalized model improvement.
However:
- We may still store the full transcript in our CRM;
- Third-party AI providers may process message content (including personal information you provide) under their own terms.
9.5 Feedback License
By submitting feedback, suggestions, or ideas via the Assistant, you grant Las Palmas a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to:
- Use, store, reproduce, modify, adapt, and create derivative works from that feedback;
- Implement or act upon your ideas without any obligation to compensate you or provide credit;
- Share feedback with our service providers for the purpose of improving the service.
10. DATA RETENTION, DELETION REQUESTS, AND NON-SALE OF DATA
10.1 Retention
We may keep your data (including conversation transcripts and related metadata) for as long as we consider it useful for our:
- Business operations;
- Quality control;
- Legal, regulatory, or security needs;
- Service improvement and analytics.
We are under no general obligation to delete data you have voluntarily provided, except where required by applicable law or court order.
10.2 Deletion Requests
If you wish to request removal of your personal data from our CRM systems, you must:
- Contact us in writing through appropriate legal or official channels, and
- Clearly state your request for deletion or limitation of use.
Upon receiving such a request:
- We may take up to 30 business days to review and evaluate the request;
- Any deletion or modification will be at our sole discretion, unless we are legally compelled to act;
- We may retain certain data required for legal, regulatory, or legitimate business purposes even if other data is deleted.
10.3 Non-Sale of Data
Las Palmas will not sell your personal information in the CRM to third parties.
However, we may:
- Share data with Service Providers and affiliates who support our operations,
- Allow trustworthy technical support or CRM developers to access data where necessary,
- Use AI to analyze data for metrics, trends, and operational improvements.
11. THIRD-PARTY SERVICES AND APIs
The Assistant may:
- Call upon a training database that includes menus, hours, store information, examples, and documentation;
- Use third-party APIs and services (for example, mapping, messaging, or AI-processing APIs) when interacting via channels such as Google Messages or Meta Messenger;
- Be subject to the terms and conditions of those third-party providers.
Your use of the Assistant through those platforms may also be governed by:
- Meta’s terms and privacy policy (for Messenger);
- Google’s terms and privacy policy (for Google Messages);
- Any other platform-specific rules.
Las Palmas is not responsible for how these third-party platforms handle your data outside the context of our CRM and contracted processing.
12. COMMERCIAL USE AND COMPETITION RESTRICTIONS
You agree that:
- The Assistant and its Outputs are provided for personal, non-commercial use related to Las Palmas only.
- You will not use the Assistant:
- To operate or assist any restaurant or competing food-service business;
- To systematically extract strategies, processes, or unique ideas to benefit competitors;
- To build products or services that directly compete with Las Palmas, without our prior written consent.
Any commercial use of Outputs must be:
- Explicitly authorized by Las Palmas in writing;
- Subject to any additional terms or licensing arrangements we may impose.
13. “AS IS” SERVICE AND DISCLAIMER OF WARRANTIES
The Las Palmas Assistant and all related services are provided on an “AS IS” and “AS AVAILABLE” basis.
To the fullest extent permitted by law, Las Palmas and its owners, employees, affiliates, partners, and service providers:
- Disclaim all warranties, express or implied, including but not limited to:
- Warranties of accuracy;
- Warranties of merchantability;
- Warranties of fitness for a particular purpose;
- Warranties of non-infringement;
- Warranties regarding uptime, availability, reliability, or performance.
We do not warrant that:
- The Assistant will be available at all times or operate without interruption;
- The Assistant will be error-free or secure;
- The Assistant will produce accurate, timely, or reliable Outputs;
- Any defects will be corrected;
- Data will be preserved without loss, corruption, or delay.
Your use of the Assistant is at your own risk.
14. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
- No Indirect or Consequential Damages
- Indirect, incidental, consequential, special, punitive, or exemplary damages;
- Loss of profits, revenue, business opportunities, or goodwill;
- Emotional distress, personal injury, or property damage;
- Data loss, corruption, or exposure;
- Damages resulting from your reliance on any Output.
We are not responsible for any injuries, accidents, or damages that occur because you used the Assistant while driving or operating any vehicle or machinery, in direct violation of these Terms.
We are not responsible for any harm arising from your use of the Assistant as a substitute for medical, legal, financial, mental health, or other professional advice.
In no event shall our total aggregate liability arising out of or related to your use of the Assistant exceed the maximum amount allowed by applicable law. Where lawful, our total aggregate liability shall not exceed one hundred U.S. dollars (US $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, portions of the above limitation may not apply to you, but only to the minimum extent required by law.
15. DISPUTE RESOLUTION, GOOD-FAITH EFFORTS, MEDIATION, AND ARBITRATION
15.1 Good-Faith Resolution
Before initiating any formal dispute process relating to the Assistant or these Terms, you agree to:
- First attempt to resolve the matter in good faith by providing written notice to Las Palmas;
- Allow us at least 30 days from receipt of your notice to review and respond.
15.2 Mediation
If the dispute cannot be resolved through good-faith discussion within 30 days:
- The parties agree to attempt to resolve the dispute through mediation conducted in Floyd County, Georgia, using a mutually agreed-upon mediator or mediation service.
15.3 Binding Arbitration
If mediation does not resolve the dispute:
- The dispute shall be resolved through binding arbitration in Floyd County, Georgia,
- Under the rules of a recognized arbitration authority or service selected by Las Palmas (unless otherwise required by law).
You agree that:
- Arbitration shall be conducted on an individual basis, not as a class action;
- The arbitrator’s decision shall be final and binding;
- Each party is responsible for its own legal fees and costs, unless the arbitrator rules otherwise under applicable law.
Nothing in this section prevents either party from:
- Seeking provisional or injunctive relief in a court of competent jurisdiction;
- Filing a claim in small claims court, where allowed by law.
16. MODIFICATIONS TO THE TERMS AND SERVICE
Las Palmas may:
- Modify these Terms at any time;
- Update or change the behavior, capabilities, or availability of the Assistant;
- Temporarily or permanently discontinue the Assistant, in whole or in part.
When we update the Terms:
- We will post the updated version in or near the Assistant interface and/or on our website;
- The “Effective Date” at the top will be revised;
- Your continued use of the Assistant after the update constitutes your acceptance of the new Terms.
If you do not agree to the updated Terms, you must stop using the Assistant.
17. SEVERABILITY, NON-WAIVER, AND ENTIRE AGREEMENT
17.1 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable:
- That provision shall be enforced to the maximum extent permissible, and
- The remaining provisions shall continue in full force and effect.
17.2 Non-Waiver
Failure by Las Palmas to enforce any right or provision in these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Las Palmas.
17.3 Entire Agreement
These Terms constitute the entire agreement between you and Las Palmas regarding your use of the Assistant and supersede all prior or contemporaenous understandings, agreements, or representations, whether written or oral.
18. GOVERNING LAW
These Terms and any disputes arising out of or relating to the Assistant shall be governed by and construed in accordance with the laws of the State of Georgia, and where applicable, the laws of the United States of America, without regard to conflict-of-law principles.
By using the Las Palmas Assistant, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
